Terms of Service

These Terms of Service ("Terms") govern your access to and use of the RB Command application ("Service") provided by Batta Holdings, LLC ("RB Command", "we", "us"). By accessing or using the Service you agree to these Terms.

1. The Service

RB Command is an internal operations platform for Batta Holdings, LLC and its operating subsidiaries. It provides a unified interface for email, tasks, calendars, finance, and related workflows, with AI-assisted features layered on top. Access is granted at our discretion to employees, contractors, and authorized agents of Batta Holdings, LLC.

2. Eligibility

You may use the Service only if you have been granted access by Batta Holdings, LLC, are at least 18 years old, and have legal capacity to enter into a binding contract. Use of the Service by anyone outside these criteria is prohibited.

3. Account credentials and security

You agree to:

  • Maintain the confidentiality of your account credentials and any OAuth tokens issued in connection with your account.
  • Notify us immediately of any unauthorized use of your account or any other breach of security.
  • Not share your account credentials with others or allow others to use your account.

You are responsible for all activity that occurs under your account.

4. Acceptable use

You agree not to:

  • Use the Service to send spam, phishing messages, malware, or any other content that violates applicable law or any third party's rights.
  • Use the Service to impersonate another person or entity.
  • Reverse engineer, decompile, or attempt to extract source code from the Service, except to the extent that applicable law expressly permits despite this restriction.
  • Interfere with or disrupt the Service or any servers or networks connected to the Service.
  • Use automated means (bots, scrapers) to access the Service in a way that exceeds documented integration patterns.

5. Connected accounts and third-party services

The Service integrates with third-party services including Google Workspace (Gmail, Calendar, Drive), Anthropic, Stripe, and others (each, a "Third-Party Service"). Your use of any Third-Party Service is governed by that service's own terms and privacy policy. By connecting a Third-Party Service to RB Command you authorize us to access and use the data and functionality of that service as described in our Privacy Policy and the OAuth consent screens you approved.

You can revoke RB Command's access to a Third-Party Service at any time through that service's settings (e.g., myaccount.google.com/permissions for Google) or by disconnecting it from inside RB Command at Admin → Integrations.

6. AI-assisted features

The Service includes features that use third-party AI models (currently Anthropic's API) to draft replies, classify messages, parse rules, summarize content, and respond to natural-language prompts. AI output may be inaccurate or incomplete. You are responsible for reviewing AI-generated content before acting on it, including before sending any AI- drafted message.

7. Intellectual property

The Service, including its software, design, and content (excluding your data and any third-party content), is owned by Batta Holdings, LLC and is protected by intellectual property laws. You receive no license or ownership rights other than the limited right to use the Service in accordance with these Terms.

You retain all rights in the content you provide to or generate using the Service. You grant Batta Holdings, LLC a limited, non-exclusive, royalty-free license to host, store, and process that content solely for the purpose of operating and improving the Service for you.

8. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, secure, error-free, or that any defects will be corrected. Without limiting the foregoing, RB Command makes no warranty regarding the accuracy, reliability, or completeness of any AI-generated output produced by the Service.

9. Limitation of liability

To the maximum extent permitted by law, Batta Holdings, LLC and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from (a) your access to or use of, or inability to access or use, the Service; (b) any conduct or content of any third party on the Service; (c) any content obtained from the Service; or (d) unauthorized access, use, or alteration of your transmissions or content.

In no event will RB Command's total liability to you for all claims relating to the Service exceed one hundred U.S. dollars ($100).

10. Indemnification

You agree to defend, indemnify, and hold harmless Batta Holdings, LLC and its affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to (a) your use of the Service in violation of these Terms, or (b) your violation of any law or the rights of any third party.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ends immediately. Sections that by their nature should survive termination (including Sections 7–10 and 13) will survive.

12. Changes to the Service or these Terms

We may modify the Service or these Terms at any time. If we make material changes to these Terms we will notify you (for example, by email or via an in-app notice) before they take effect. Your continued use of the Service after the changes become effective constitutes acceptance of the revised Terms.

13. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in California, and you consent to the personal jurisdiction of those courts.
